Overview

David J. Murphy is the Managing Attorney of Murphy PC, a Boston-based real estate and business law firm and is Of Counsel to McDermott, Quilty, Miller & Hanley LLP.

With over 20 years of experience, David counsels clients in the acquisition, development, sale, leasing, and financing of commercial real estate throughout New England and other states. A significant portion of his practice involves the formation, negotiation, structuring, and governance of sophisticated real estate joint ventures, including preferred equity transactions, co-sponsor arrangements, and multi-member investment structures.

 He drafts and negotiates operating agreements, partnership agreements, purchase and sale agreements, loan documents, construction contracts, and commercial leases. He advises on entity governance, distribution waterfalls, capital contribution structures, promote arrangements, fiduciary obligations, and tax-efficient investment planning.

 He has structured financing arrangements across construction, permanent, refinance, and mezzanine loans with regional and national lenders, with experience in Fannie Mae, HUD/FHA programs, bond financing, and historic and affordable housing tax credits.

 David represents developers through every phase of a project, including site evaluation, due diligence, acquisition, permitting, zoning, financing, construction, leasing, and disposition, and counsels owners and investors in the purchase, sale, and operation of commercial properties across all property types.
