Overview

Every acquisition is the beginning of what a property becomes.

We represent owners, developers, and investors in the purchase and sale of commercial real estate, including multifamily, office, retail, industrial, and mixed-use properties. Our transactional work includes drafting and negotiating letters of intent, purchase and sale agreements, leases, brokerage agreements, and asset management agreements.

We advise on zoning, permitting, environmental, and title matters, providing practical solutions tailored to each transaction. Our clients include developers acquiring properties for redevelopment, owners acquiring and holding performing assets, and investors acquiring assets for repositioning or long-term hold strategies.

We also represent buyers and sellers of closely held businesses. Our counsel includes preparing companies for sale, structuring and negotiating transactions, and advising on pre-due diligence matters. We evaluate whether a stock sale, asset sale, or merger is appropriate based on tax, financial, and liability considerations.

We advise on earnout provisions, noncompete agreements, escrow arrangements, and transaction-related compensation and deductions.
